Reselling Terms and Conditions

These Reselling Terms and Conditions (“Agreement”) govern the relationship between JustTrain (“Platform”), the Service Owner (“Seller/Coach”), and the Reseller (“Gym/Establishment”). By participating in the JustTrainReselling Program, all parties agree to the following terms:

1. Definitions

1.1 Platform: JustTrain, the technology provider facilitating the sale and distribution of services.

1.2 Service Owner (Seller): The individual or entity creating and providing the fitness or coaching services.

1.3 Reseller: The individual or entity authorized to market and sell the Service Owner’s services to their clients via the Platform.

1.4 Services: Online, connected, remote, or in-person coaching sessions, training programs, or other fitness-related offerings listed by the Service Owner.

1.5 Clients: End users purchasing services through the Reseller or directly from the Service Owner.

2. Authorization

2.1 The Reseller is granted non-exclusive rights to market and sell the Service Owner’s services via the Platform.

2.2 The Service Owner authorizes the Platform to distribute their services via the Reseller’s account.

3. Revenue Sharing Model

3.1 Online Services

For services sold through the App Store or Play Store:

• Distribution Fee (App Store/Play Store): 15% of the gross revenue.

• Net Revenue Split (remaining 85%):

    • Service Owner (Seller): 70%

    • Reseller: 15%

    • Platform: 15%

3.2 Connected, Remote, or In-Person Services

For services sold via payment processing platforms like Stripe:

• Payment Processing Fee (Stripe): 3% of the gross revenue.

• Net Revenue Split (remaining 97%):

    • Service Owner (Seller): 70%

    • Reseller: 15%

    • Platform: 15%

4. Payment Terms

4.1 Payouts:

• Payments to the Service Owner and Reseller will be disbursed monthly, subject to a minimum payout threshold of 1$

4.2 Currency: All clients payments will be processed in the seller’s account currency, received in GBP and paid out in the seller’s bank currency.

4.3 Taxes: Each party is responsible for reporting and paying their applicable taxes on revenue earned.

5. Responsibilities

5.1 Service Owner (Seller):

• Deliver high-quality services as advertised.

• Maintain updated availability and accurate descriptions of services on the Platform.

• Resolve disputes with Clients promptly and professionally.

5.2 Reseller:

• Actively promote the Service Owner’s services to Clients.

• Ensure accurate representation of services.

• Avoid any misleading or unethical marketing practices.

5.3 Platform:

• Provide a secure and functional system to facilitate transactions.

• Ensure accurate revenue distribution as per this Agreement.

• Offer technical support for Sellers, Resellers, and Clients.

6. Intellectual Property

6.1 All content and services created by the Service Owner remain their intellectual property.

6.2 Resellers are prohibited from modifying or claiming ownership of the Service Owner’s content.

7. Term and Termination

7.1 This Agreement begins upon acceptance and continues until terminated by any party.

7.2 Termination does not affect obligations for transactions already completed.

8. Confidentiality

8.1 All parties agree to keep confidential any sensitive business information shared during the course of this Agreement.

9. Prohibited Conduct

9.1 Sellers and Resellers agree not to engage in:

• Misrepresentation of services.

• Fraudulent activities.

• Practices that harm the reputation of the Platform or other parties.

10. Liability and Disputes

10.1 The Platform is not liable for disputes between the Service Owner and Reseller or any issues arising from service delivery.

10.2 All disputes will be resolved through arbitration in accordance with the laws of England and Wales

11. Amendments

11.1 The Platform reserves the right to amend these terms with 30 days’ notice. Continued use of the Platform constitutes acceptance of the updated terms.

12. Entire Agreement

12.1 This Agreement constitutes the entire understanding between the Platform, Service Owner, and Reseller.

By participating in the JustTrain Reselling Program, all parties agree to the above terms.
